UNDER NO CIRCUMSTANCES, INCLUDING BUT NOT LIMITED TO NEGLIGENCE, SHALL AGRISOMPO BE LIABLE FOR ANY DAMAGES, DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR ANY OTHER TYPE OF DAMAGES, INCLUDING PUNITIVE OR EXEMPLARY DAMAGES RESULTING FROM OR IN ANY WAY RELATED TO THE AGRISOMPO WEBSITE, REGARDLESS OF THE FORM OF ACTION WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, EVEN IF AGRISOMPO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.   1. Indemnification

You shall indemnify AgriSompo and its directors, officers, employees, agents, and contractors (“AgriSompo Indemnitees”) against all claims, actions, suits, and other proceedings (“Claims”) arising out of or incurred in connection with the AgriSompo website and your use of the AgriSompo website, or any services, product or data obtained through the AgriSompo website, your fraud, violation of law, negligence, willful misconduct, or any other use of the AgriSompo website, the services, products, information and other materials on, in and made available through the AgriSompo website, except to the extent attributable to AgriSompo, or any breach by you of these Terms and Conditions of Use and shall indemnify and hold AgriSompo Indemnitees harmless from and against all judgments, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees, attorneys’ disbursements, and costs of court) arising out of or incurred in connection with such Claims. You may not settle any Claim without the prior written consent of AgriSompo. AgriSompo may assume the defense of any Claim, at its sole cost and expense, and you shall cooperate in all reasonable respects in such defense. You shall have the right to employ separate counsel in any Claim and to participate in the defense thereof. If AgriSompo does not notify you that it elects to undertake the defense thereof, you shall have the right to defend the Claim with counsel reasonably acceptable to AgriSompo, subject to the right of AgriSompo to assume, at their sole cost and expense, the defense of any Claim at any time prior to the settlement or final determination thereof.

  1. Data Protection and Privacy

By accessing the AgriSompo website, you agree without any limitation or qualification that AgriSompo has the right to monitor AgriSompo’s Internet services electronically from time to time and your access thereto and use thereof, and to disclose any information as necessary to satisfy any law, regulation or governmental request or to protect itself.

Subject to our Privacy Policy, any information or communication that you transmit to or through the AgriSompo website by electronic mail or otherwise, including data, questions, comments, or suggestions will be treated as non-confidential and non-proprietary and will become the property of AgriSompo. Please review our Privacy Policy, which also governs your visit to the AgriSompo website, so that you may understand our privacy practices.

  1. Limitation of Liability for Links to Third Parties

The AgriSompo website may provide links to certain websites sponsored and maintained by third parties. Such websites are publicly available and AgriSompo is providing access to such websites through the AgriSompo website solely as a convenience to its Users. The trademarks, logos, and service marks displayed on the AgriSompo website (collectively, the “Trademarks”) are the registered and unregistered marks of AgriSompo, our affiliates, our licensors or our partners. All Trademarks not owned by us, our affiliates or our partners that appear on the AgriSompo website are the property of their respective owners, who may or may not be affiliated with, connected to, or sponsored by us.

Except as set forth in the limited license in Section 8 below, or as required under applicable law, neither the Content, the Trademarks, nor any other portion of the AgriSompo website may be used, reproduced, duplicated, copied, sold, resold, accessed, modified, or otherwise exploited, in full or in part, for any purpose without our prior written consent.

  1. Unauthorized Activity

We grant you a limited, revocable, and non-exclusive license to access and make personal use of the AgriSompo website. Please note that you may not frame or utilize framing techniques to enclose the AgriSompo website or any portion thereof without our prior written consent. You may use the AgriSompo website solely for your personal use in a manner consistent with these Terms and Conditions of Use, and such rights may not be transferred or assigned to any other person or entity. Any other use of the AgriSompo website, including but not limited to the aforementioned unauthorized uses, without prior written permission of AgriSompo is strictly prohibited. Any unauthorized use by you of the AgriSompo website terminates the limited license set forth in this Section 8 without prejudice to any other remedy provided by applicable law. You acknowledge and agree that the unauthorized use of the AgriSompo website could cause irreparable harm to AgriSompo and that in the event of such unauthorized use, AgriSompo shall be entitled to an injunction in addition to any other remedies available at law or equity.

  1. Disputes

With respect to any dispute regarding the AgriSompo website, your rights and obligations and all actions contemplated by these Terms and Conditions of Use shall be governed by the laws of State of Texas, as if the Terms and Conditions of Use were a contract wholly entered into and wholly performed within Texas. Any dispute relating in any way to your visit to the AgriSompo website shall be submitted to confidential arbitration in Lubbock, Texas, except that, to the extent you have in any manner violated or threatened to violate our intellectual property rights, we may seek injunctive or other appropriate relief in the United States District Court for the Northern District of Texas Lubbock Division or any Lubbock County District Court and you consent to exclusive jurisdiction and venue in such courts. Arbitration under this agreement shall be conducted under the rules theAmerican Arbitration Association®. The arbitrator’s award shall be binding and may be entered as a judgment in any court of competent jurisdiction. To the fullest extent permitted by applicable law, no arbitration under these Terms and Conditions of Use shall be joined to an arbitration involving any other party subject to these Terms and Conditions of Use, whether through class arbitration proceedings or otherwise.

  1. Amendment of Terms

AgriSompo reserves the right to amend these Terms and Conditions of Use at any time. AgriSompo will notify User of any such changes to these Terms and Conditions of Use by posting the revised Terms and Conditions of Use on the AgriSompo website. Unless otherwise specified, such changes shall be effective upon posting. Users are responsible for monitoring these Terms and Conditions of Use for changes. User’s continued use of the AgriSompo website constitutes User’s agreement to be bound by such changes to these Terms and Conditions of Use. We may, with or without prior notice, terminate any of the rights granted by these Terms and Conditions of Use. You shall comply immediately with any termination or other notice, including, as applicable, by ceasing all use of the AgriSompo website.

  1. General

You acknowledge and agree that these Terms and Conditions of Use constitute the complete and exclusive agreement between us concerning your use of the AgriSompo website, and supersede and govern all prior proposals, agreements, or other communications.

Nothing contained in these Terms and Conditions of Use shall be construed as creating any agency, partnership, or other form of joint enterprise between us. AgriSompo’s failure to require your performance of any provision hereof shall not affect the full right to require such performance at any time thereafter, nor shall our waiver of a breach of any provision hereof be taken or held to be a waiver of the provision itself. In the event that any provision of these Terms and Conditions of Use shall be unenforceable or invalid under any applicable law or be so held by any applicable court decision, such unenforceability or invalidity shall not render these Terms and Conditions of Use unenforceable or invalid as a whole. We will amend or replace such provision with one that is valid and enforceable and which achieves, to the extent possible, our original objectives and intent as reflected in the original provision.
